END USER LICENSE AGREEMENT (EULA)

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMEN4T (“AGREEMENT”) CAREFULLY BEFORE INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE PROVIDED BY OKmusi. BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.

This Agreement is between you and OKmusi, the provider of the Software.

License Grant

License Type

OKmusi grants you a non-exclusive, non-transferable, limited license to use the Software on a single device or multiple devices, depending on the license type you have purchased (e.g., personal or commercial use).

License Transfer

You may not transfer this license to any other party without the written consent of OKmusi. If such transfer is authorized, it may be subject to additional fees.

Licensee Publicity Rights

By using the Software, you authorize OKmusi to use your company’s name in promotional materials, such as case studies, testimonials, marketing content, and at industry events. This use will be solely for the purpose of identifying you as a customer and will not suggest endorsement of OKmusi’s products beyond your use of the Software. Any such use requires your prior written consent, and you have the right to withdraw this permission at any time by providing written notice. Upon receiving your notice, OKmusi will discontinue the use of your name within thirty (30) days, except for existing materials that are not reasonably removable or editable.

Intellectual Property

The Software and all related intellectual property remain the exclusive property of OKmusi and its licensors. You are granted a limited license to use the Software but do not obtain any ownership rights in the intellectual property. All software code, structure, and organization are protected by copyright laws and international treaties. The software is considered a valuable trade secret. You may develop plug-ins or extensions to the Software under a separate agreement but must obtain written permission from OKmusi beforehand.

Privacy and Data Usage

Data Collection

By using the Software, you consent to OKmusi collecting data, including usage statistics, device information, crash logs, and other technical data.

Use of Data

Your data will be handled as described in OKmusi's Privacy Policy. This policy explains how your data is used, your rights, and how we protect your data.

Third-Party Data

The Software may interact with third-party services, and any data shared with those services will be governed by their respective privacy policies.

Warranties and Disclaimers

No Warranty

THE SOFTWARE IS PROVIDED "AS-IS" AND "AS AVAILABLE", WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Warranty

OKmusi does not guarantee that the Software will be error-free, secure, or uninterrupted. You acknowledge that you use the Software at your own risk.

Disclaimers

OKmusi disclaims all liability for any damages arising from your use or inability to use the Software, including data loss or loss of profits.

Limitation of Liability

Exclusion of Damages

IN NO EVENT SHALL OKmusi BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SOFTWARE.

Maximum Liability

OKmusi’s liability is limited to the amount you paid for the Software.

Export Restrictions

The Software is subject to export laws. You agree to comply with all applicable export regulations and restrictions in your jurisdiction.

Indemnification

You agree to indemnify OKmusi from any claims, damages, or expenses arising from your use of the Software or breach of this Agreement.

Term and Termination

Term

This Agreement is effective until terminated by either party.

Termination by User

You may terminate this Agreement at any time by uninstalling and destroying all copies of the Software.

OKmusi may terminate this Agreement if you breach any terms. Upon termination, you must cease use and destroy all copies.

Effect of Termination

Upon termination, your right to use the Software ends immediately, and you must uninstall and destroy all copies of the Software.

Governing Law and Dispute Resolution

If you are using a trial version, it may have limited features or an expiration date.

Support

Technical support is available via OKmusi’s customer support team. Certain conditions may apply.

Severability

If any provision of this Agreement is found invalid, the rest of the Agreement will remain in full effect.

Entire Agreement and Amendments

Entire Agreement

This Agreement represents the entire understanding between you and OKmusi regarding the Software.

Amendments

OKmusi reserves the right to modify or amend this Agreement at any time, in whole or in part, at its sole discretion. Any such changes will become effective once they are communicated to you, either via email or through notifications within the Software. The notice will include a summary of the changes and the effective date of the modifications.

For significant amendments that substantially affect your rights or obligations under this Agreement, you will be provided with advance notice. In such cases, your continued use of the Software after the effective date of the changes will be deemed as your acceptance of the updated Agreement. In certain instances, you may be required to explicitly accept the modified terms before continuing to use the Software.

If you do not agree with the changes, you have the right to terminate this Agreement by ceasing to use the Software. Should you decide to terminate, you must immediately discontinue use of the Software and destroy any copies in your possession.

You are responsible for regularly reviewing this Agreement and any amendment notifications. OKmusi will not be liable for consequences arising from your failure to review and accept the updated terms.

End-User Generated Content

Any content you generate through the Software remains your property, but OKmusi may use it for promotional purposes with your consent.

Acceptance of Terms

By installing and using the Software, you agree to all terms in this Agreement.
